NASA image shows differences between orbits of   typical near-Earth asteroid  (blue)        and  potentially hazardous asteroid, or PHA  (orange).
PHAs are subset of near-Earth asteroids (NEAs)
Have closest orbits to Earth’s orbit (green), within 5 million miles
Large enough to survive passage through Earth’s atmosphere 
Could cause damage on a regional, or greater, scale
